These Vendor & Supplier Terms govern suppliers, vendors, manufacturers, distributors, and other business partners that sell to, through, or in coordination with My Deme, LLC ("MyDeme"), unless superseded by a separate signed agreement.
Product Information and Compliance
Suppliers are responsible for the accuracy of product descriptions, specifications, pricing, availability, lead times, inventory counts, labeling, safety information, and compliance documentation. Supplier warrants that products are genuine, lawful, and free from defects in design, materials, and workmanship.
Pricing, Fulfillment, and Inventory
MyDeme may correct pricing errors and cancel or adjust orders affected by inaccurate supplier data. Suppliers are responsible for timely fulfillment. MyDeme may reject non-conforming, early, late, excess, or unauthorized shipments and suspend or remove listings based on operational, legal, or compliance concerns.
Intellectual Property
Suppliers represent that they have rights to list, sell, distribute, and license all submitted product content. Suppliers grant MyDeme a non-exclusive license to use supplier-provided content for merchandising, marketing, compliance review, sales, and recordkeeping.
Recalls and Product Liability
Suppliers must promptly notify MyDeme of recalls, safety notices, regulatory inquiries, counterfeit concerns, or product defects and cooperate fully with corrective actions at supplier cost. To the fullest extent permitted by law, product liability associated with supplier-provided goods remains with the supplier or manufacturer.
Indemnification
Supplier will defend, indemnify, and hold harmless MyDeme from claims arising out of product defects, recalls, non-compliance with law, infringement or misappropriation of third-party rights, inaccurate product claims or documentation, supplier negligence or misconduct, and taxes or customs issues for which supplier is responsible.
Termination
MyDeme may suspend or terminate supplier relationships immediately for legal, safety, fraud, sanctions, non-performance, documentation, or policy reasons.
