These Terms of Use ("Terms") are a binding agreement between you and My Deme, LLC ("MyDeme," "we," "us," or "our"). These Terms govern your access to and use of our websites, accounts, applications, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, submitting an application, placing an order, requesting a quote, or uploading documents, you agree to these Terms.

Eligibility

You may use the Services only if you can form a binding contract and are not prohibited from using the Services under applicable law. If you act on behalf of a business, you represent that you have authority to bind that entity.

You consent to receive communications from us electronically, including by email, account notice, or website posting where permitted by law.

Acceptable Use

You may not use the Services to violate law, infringe rights, submit false or fraudulent information, interfere with platform operations, attempt unauthorized access, scrape the Services without permission, evade security or verification controls, or misrepresent business status or purchasing purpose.

Product Information, Quotes, and Orders

Product displays, catalogs, and quotes are invitations to do business unless expressly stated otherwise in writing. We may refuse, limit, hold, or cancel any order, quote request, purchase order, or application for lawful reasons including pricing error, fraud risk, compliance concerns, inventory limits, or documentation issues.

Pricing, Payment, and Taxes

Prices may change without notice unless locked by a written quote or agreement. You authorize charges for products, shipping, taxes, fees, and approved adjustments. You are responsible for applicable taxes, duties, VAT, customs charges, and similar assessments except where we are legally required to collect and remit them.

Shipping and Delivery

Shipping options, rates, and delivery estimates are displayed during checkout. Free shipping promotions apply only to qualifying standard shipping services unless expressly stated otherwise. Delivery estimates are not guaranteed unless expressly guaranteed in writing.

Returns, Refunds, and Cancellations

Returns, refunds, exchanges, and cancellations are governed by our Returns & Refunds Policy and any product-level, quote-level, or purchase-order terms that apply.

User Submissions and Intellectual Property

If you submit reviews, documents, images, applications, or other content, you grant MyDeme a non-exclusive, worldwide, royalty-free license to use that content as reasonably necessary to operate, improve, support, and defend the Services. You represent that you have the rights needed to submit the content.

MyDeme intellectual property is protected under our Intellectual Property Policy and applicable law.

Compliance With Law

You agree to comply with applicable laws, including export controls, sanctions laws, customs laws, tax laws, and intellectual property laws. You may not use the Services for prohibited end uses, prohibited destinations, or prohibited end users.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL PRODUCTS, CONTENT, LISTINGS, DATA, AND FUNCTIONALITY ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYDEME AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, MYDEME'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MYDEME FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.00 IF NO PAYMENT WAS MADE.

Indemnification

You agree to defend, indemnify, and hold harmless MyDeme and its affiliates, licensors, service providers, and their respective officers, directors, employees, and agents from claims, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your breach of these Terms, your submissions or instructions, your violation of law, your infringement or misappropriation of third-party rights, your failure to pay applicable taxes or duties, or disputes caused by your acts or omissions.

Termination and Suspension

We may suspend, limit, or terminate access to the Services or any account where reasonably necessary to protect our rights, operations, users, partners, or legal compliance interests.

Governing Law

These Terms are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Florida, without regard to conflict-of-law principles, except where mandatory local consumer law requires otherwise.

Informal Dispute Resolution

Before starting arbitration or litigation, you and MyDeme agree to try to resolve disputes informally by written notice to our legal department. The notice must include your name, account or order reference, a description of the dispute, and the relief requested. The parties will attempt good-faith resolution for at least 30 days unless urgent injunctive relief is necessary.

Binding Arbitration and Class Action Waiver

Except for disputes that qualify for small claims court or requests for temporary or preliminary injunctive relief, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules.

EACH PARTY AGREES THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING.

Venue for Permitted Court Proceedings

If a dispute is permitted to proceed in court rather than arbitration, and if you do not have non-waivable venue rights elsewhere, the dispute must be brought exclusively in the state or federal courts located in Florida, and each party consents to personal jurisdiction there.

Force Majeure

MyDeme is not liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, carrier delays, labor issues, internet or power failures, cyber incidents, acts of government, export restrictions, customs delays, epidemics, war, terrorism, or supply chain disruption.

Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised last-updated date. Your continued use of the Services after the effective date means you accept the updated Terms, subject to applicable law.
